1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the TradeSingh B2B marketplace platform (the "Platform"), operated by TradeSingh ("we", "our", or "us"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

You represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

2. About the Platform

TradeSingh is a B2B marketplace that connects Indian buyers with manufacturers, traders, and wholesalers. The Platform facilitates product discovery, supplier connections, and trade inquiries. We act as an intermediary platform and are not a party to any transaction between buyers and sellers.

3. User Accounts

3.1 Registration

To access certain features, you must create an account using a valid Indian mobile phone number and complete the OTP verification process. You agree to provide accurate and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect any unauthorised access.

3.3 Account Types

The Platform supports buyer and seller accounts. Seller accounts require additional business information and are subject to verification. We reserve the right to approve or reject seller registrations at our discretion.

4. Seller Obligations

• Provide accurate, complete, and up-to-date information about your business, products, pricing, and capabilities.
• Ensure all product listings comply with applicable Indian laws and regulations, including but not limited to the Legal Metrology Act, BIS standards, and FSSAI regulations where applicable.
• Respond to buyer inquiries in a timely and professional manner.
• Not list prohibited, counterfeit, illegal, or restricted items on the Platform.
• Maintain valid GST registration and other applicable business licences.
• Not engage in misleading pricing, bait-and-switch tactics, or deceptive trade practices.

5. Buyer Obligations

• Submit genuine inquiries with accurate requirements and specifications.
• Communicate professionally and in good faith with sellers.
• Not misuse the inquiry system for spam, solicitation, or any purpose unrelated to legitimate trade.
• Conduct your own due diligence on sellers before entering into any commercial arrangement.

6. Prohibited Activities

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Post false, misleading, defamatory, or fraudulent content.
• Attempt to gain unauthorised access to other user accounts, Platform systems, or data.
• Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
• Interfere with or disrupt the Platform's infrastructure, security, or performance.
• Circumvent the Platform to conduct transactions directly in order to avoid Platform policies.
• Impersonate another person or business entity.
• Upload malicious code, viruses, or any harmful content.

7. Product Listings & Content

Sellers retain ownership of the content they submit, including product descriptions, images, and business information. By posting content on the Platform, you grant TradeSingh a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute such content for the purpose of operating and promoting the Platform.

We reserve the right to remove or modify any content that violates these Terms, applicable laws, or our content guidelines, without prior notice.

8. Transactions Between Users

TradeSingh is a discovery and lead-generation platform. We facilitate connections between buyers and sellers but do not participate in, guarantee, or take responsibility for any transactions, negotiations, agreements, payments, or disputes between users. All commercial dealings are solely between the respective buyer and seller.

We strongly recommend that users conduct appropriate due diligence, verify business credentials, and use secure payment methods when conducting business with other users.

9. Intellectual Property

The Platform, including its design, logos, software, text, graphics, and other content owned by TradeSingh, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our express written permission.

10. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We make no representations regarding the accuracy, reliability, or completeness of any content or information provided by users.

11. Limitation of Liability

To the maximum extent permitted by applicable law, TradeSingh and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform, any transaction between users, or any content posted by users.

12. Indemnification

You agree to indemnify, defend, and hold harmless TradeSingh and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in conduct harmful to the Platform or other users. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Platform after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
